Our elite global Alternative Investment Fund client is seeking to recruit an  in-house transactional Securitization Attorney to directly support structured finance and credit deal teams with legal advise, transaction structuring and securitization for investment transactions across a variety of credit strategies.

Responsibilities:

  • Directly support structured finance and credit deal teams with legal advise, transaction structuring and securitization for investment transactions across a variety of credit strategies
  • Manage and lead investment transactions across multiple asset classes – Corporate Credit, Fund Finance, Asset-Backed-Securities, Commercial Real Estate, etc. – from inception through closing
  • Work closely with deal teams, clients, and external counsel to ensure smooth execution of transactions
  • Advise deal teams, clients and other key stakeholders on investment structures, regulatory requirements, and risk mitigation
  • Negotiate, draft and review complex transaction documents, including purchase agreements, indentures, credit agreements, trust and custodial agreements, etc.
  • Manage deal timelines, ensuring all legal documentation and approvals are completed accurately and on time
  • Complete ad hoc projects as required including legal department best practices, process improvements and process automation

Requirements:

  • J.D. with NY State Bar admission
  • 5+ years of transactional legal experience at a large law firm, alternative investment platform or insurance company
  • Demonstrated experience leading and executing complex structured finance transactions and securitizations
  • Strong understanding of structured finance and credit investing
  • Proven ability to thrive in a lean and unstructured environment and manage transactions independently

Responsibilities:

  • Primary focus on legal entity formation, corporate agreements, service contracts, corporate governance and vendor agreements
  • Negotiate, draft and review legal entity, corporate and organizational documents including, but not limited to LLC agreements, LP agreements and vendor/service agreements and contracts
  • Advise key stakeholders on entity formation, corporate governance, and regulatory compliance matters
  • Support key stakeholders on corporate legal initiatives, ensuring alignment with business objectives
  • Assist with ad hoc legal projects and maintain accurate corporate records and manage internal approvals for legal documents

Requirements:

  • JD with NY State Bar admission
  • 3+ years of corporate law experience at a large global law firm or in-house at an investment management or alternative investment platform
  • Demonstrated experience drafting and negotiating legal entity agreements, corporate agreements, vendor agreements and service contracts

Our elite global Private Equity client is seeking to recruit a highly experienced Attorney to execute transactions, manage complex deal activity and serve as the key legal advisor and strategic business partner to fund  senior leadership.

Responsibilities:

  • Execute transactions, manage complex deal activity and serve as the key legal advisor and strategic business partner to fund senior leadership
  • Provide hands-on support for a variety of legal matters including, but not limited to, fund formation, portfolio company governance, divestitures, M&A transactions and co-investments
  • Review, draft and negotiate limited partnership agreements, side letters, fund formation documents and other related investor documents
  • Work closely with investment deal teams, operations, compliance, tax, and external counsel to ensure effective and efficient transaction execution
  • Lead and manage PE transactions from investment sourcing through deal closing
  • Provide legal advise on regulatory matters, risk management and investment structures
  • Provide legal advise to portfolio companies including, but not limited to, management incentive plans, corporate governance and transaction exit strategies
  • Assist with legal department best practices, process improvements and process automation projects

Requirements:

  • 8+ years providing legal and strategic business advise on complex private equity transactions
  • Legal expertise with fund formation and M&A transaction execution from a top-tier global law firm or alternative investment platform
  • Significant experience advising private equity sponsors and institutional investors
  • Ability to manage complex transactions in a dynamic fast-paced environment
  • Expertise with fund formation, portfolio management, transaction exit strategies and the private equity transaction lifecycle
  • Advanced negotiation, document drafting and transaction management skills
  • Strong communication, interpersonal and relationship building skills
  • JD and NY State Bar membership, in good standing
