Our elite global Alternative Investment Fund client is seeking to recruit an in-house transactional Securitization Attorney to directly support structured finance and credit deal teams with legal advise, transaction structuring and securitization for investment transactions across a variety of credit strategies.
Responsibilities:
- Directly support structured finance and credit deal teams with legal advise, transaction structuring and securitization for investment transactions across a variety of credit strategies
- Manage and lead investment transactions across multiple asset classes – Corporate Credit, Fund Finance, Asset-Backed-Securities, Commercial Real Estate, etc. – from inception through closing
- Work closely with deal teams, clients, and external counsel to ensure smooth execution of transactions
- Advise deal teams, clients and other key stakeholders on investment structures, regulatory requirements, and risk mitigation
- Negotiate, draft and review complex transaction documents, including purchase agreements, indentures, credit agreements, trust and custodial agreements, etc.
- Manage deal timelines, ensuring all legal documentation and approvals are completed accurately and on time
- Complete ad hoc projects as required including legal department best practices, process improvements and process automation
Requirements:
- J.D. with NY State Bar admission
- 5+ years of transactional legal experience at a large law firm, alternative investment platform or insurance company
- Demonstrated experience leading and executing complex structured finance transactions and securitizations
- Strong understanding of structured finance and credit investing
- Proven ability to thrive in a lean and unstructured environment and manage transactions independently
